These Terms of Service ("Terms") govern your access to and use of the services provided by 8Scale, Inc. ("8Scale", "we", "us", or "our"), including our website, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this requirement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

You must create an account to access certain features of the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Services or other users.

3. Services

8Scale provides an API platform for running AI models, including video generation, audio generation, and other AI inference tasks. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Interfere with or disrupt the Services or servers connected to the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services to generate content that is illegal, harmful, or violates third-party rights
  • Resell or redistribute the Services without our prior written consent

4. Fees and Payment

Certain features of the Services require payment. You agree to pay all fees associated with your use of the Services. Fees are charged on a per-request basis as described in our pricing documentation. All fees are non-refundable unless otherwise stated.

We use third-party payment processors to handle billing. By providing payment information, you represent that you are authorized to use the payment method. We reserve the right to change our pricing at any time with reasonable notice.

5. Your Content

You retain ownership of any content you submit to or generate through the Services ("Your Content"). By using the Services, you grant us a limited license to process Your Content solely for the purpose of providing the Services.

You are solely responsible for Your Content and for ensuring that it complies with all applicable laws. We do not monitor or review Your Content, but we reserve the right to remove content that violates these Terms.

6. Intellectual Property

The Services, including all software, designs, text, and other materials, are owned by 8Scale and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share your information.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 8SCALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless 8Scale and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimer, limitation of liability, and indemnification.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
